Choosing the right structure is one of the most important early decisions a founder will make.
**Private Limited Company** is ideal if you plan to raise external capital, hire employees on ESOPs, or build a long-term scalable enterprise. It carries the highest compliance burden but unlocks every funding lever.
**LLP** suits consulting, agencies and partnerships where two or more founders want limited liability without the heavy compliance of a Pvt Ltd.
**OPC** is for solo founders who want a corporate identity while keeping decision-making in their hands.
### Tax angle
Pvt Ltd companies enjoy concessional 22% / 15% rates under section 115BAA/115BAB. LLP is taxed at 30% but avoids dividend distribution tax. OPC is taxed like a Pvt Ltd.
### Compliance angle
Pvt Ltd has the most paperwork — board meetings, ROC filings, audit. LLP is the lightest beyond ₹40L turnover threshold.
### Funding angle
VCs almost always invest only in Pvt Ltd. LLP requires conversion before funding, which adds 2-3 months of compliance work.
